STARFIELD PLATFORM ACCESS AND SERVICE AGREEMENT

This Provider Services Agreement only applies to users of the North Dakota Pharmacy Service Corporation’s Starfield platform (“Platform”), which includes practice management and related services. This is a legally binding agreement between the North Dakota Pharmacy Service Corporation (Company, “we” or “us”) and you, as an individual provider of healthcare services or authorized official on behalf of a healthcare provider entity (“user” or “you”). Our registered office is located at 1641 Capitol Way, Bismarck, ND 58501.

 
1. Scope and Definitions 
• Scope: This agreement governs access to and use of the Platform and related services offered by the Company. 
• Consent: Means consent or authorization by a user allowing us to take actions under this 
Agreement, given via electronic communication or Platform features. 
• Clinical Data Exchange: The exchange of protected health information between you and HIPAA covered entities for care coordination, payment, or healthcare operations. 
• Provider Health Information: Protected Health Information (PHI) that you or your entity input or upload onto the Platform. 
• Platform: The Starfield Platform owned and operated by the Company, including software, algorithms, apps, and AI models. 


2. Eligibility and Account Creation 
• Eligibility: To use the Platform, the user must be a licensed healthcare provider authorized to practice in North Dakota or any other jurisdiction accepted by the Company. 
• Account Responsibility: Users are responsible for all activities that occur under their Account and must maintain the confidentiality of their credentials . 
• Verification: You agree that your use of the Platform may be subject to verification by us of your identity and credentials as a healthcare professional. 


3. Grant of Right to Use and Access 
• Limited License: Company grants the user a non-exclusive, non-transferable, revocable license to access the Platform solely for related professional activities. 
• Support: Company will use reasonable efforts to provide technical support during normal business operations (9:00 AM – 5:00 PM CST). 
• Informational Purpose: Information provided through the Platform is for educational purposes only and is not a substitute for your professional medical judgment. 


4. HIPAA Compliance and Use of Information 
• Compliance: Users agree to comply with all applicable HIPAA regulations, including the 
protection of PHI. 
• Permissions: Company will permit access to Provider Health Information to users and authorized 
third parties to whom you have Consented. 
• Data Sets: Company may create de-identified data sets from Provider Health Information and disclose them for any purpose in accordance with applicable law. 
• Prohibitions: Users are prohibited from providing screen captures, visuals, or descriptions of Platform functionality to non-Platform users without consent. 


5. Prohibited Activities
As a user of the Platform, you agree not to: 
• Systematically retrieve data or other content from the Site to create or compile a collection, 
compilation, or database. 
• Trick, defraud, or mislead us and other users, especially in attempts to learn sensitive account information. 
• Circumvent, disable, or otherwise interfere with security-related features of the Site. 
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Site. 
• Engage in any automated use of the system, such as using scripts to send messages or using data mining, robots, or similar extraction tools. 
• Except as permitted by law, decipher, decompile, disassemble, or reverse engineer any of the software comprising the Site. 


6. Intellectual Property Rights 
• Proprietary Property: The Platform, including its software, algorithms, and AI models, is the intellectual property of the Company and is protected by copyright and trademark laws. 
• User Content: Users retain ownership of the Content they create but grant the Company a worldwide, non-exclusive, royalty-free license to use and display such Content in connection with the Platform. 


7. U.S. Government Rights 
• Commercial Items: Our services are “commercial items” as defined in Federal Acquisition 
Regulation (“FAR”) 2.101. 
• Agency Compliance: If services are acquired by a non-DOD agency, they are subject to these Terms in accordance with FAR 12.212 and FAR 12.211. DOD agency acquisitions are subject to DFARS 227.7202-3 and DFARS 252.227-7015. 


8. Term and Termination 
• De-Identified Information: You transfer and assign to us all right, title, and interest in and to all de-identified information we create from your data. 
• Termination by Company: The Company may terminate or suspend access for any reason, including a breach of this Agreement. 
• Effect of Termination: Upon termination, the user must cease all use of the Platform, and the Company may delete the Provider’s Account and data except as required by law. 


9. Limitation of Liability and Indemnification 
• Cap on Liability: Company’s total liability shall not exceed the amount paid by the User for the use of the Platform in the twelve (12) months preceding the claim. 
• As-Is Basis: The Platform is provided on an “as-is” and “as-available” basis without warranties of any kind. 
• Indemnity: User agrees to defend, indemnify, and hold harmless the Company from claims arising out of the use of the Platform or violations of this Agreement. 


10. Dispute Resolution and Governing Law 
• Governing Law: This Agreement shall be governed by the laws of the State of North Dakota. 
• Informal Negotiations: The Parties agree to first attempt to negotiate any Dispute informally for at 
least 30 days before initiating arbitration. 
• Binding Arbitration: If unresolved, the Dispute will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). 
The arbitration will take place in Bismarck, North Dakota. 


11. Electronic Communications, Transactions, and Signatures 
• Consent to Electronic Notice: Visiting the Platform, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all notices satisfy legal requirements for written communication. 
• Electronic Signatures: You agree to the use of electronic signatures, contracts, and records and waive any requirements under statutes that require an original signature or non-electronic records.
